Terms of Service

1. About the Platform

Eido is a cloud-based business management platform designed for UK companies. The Platform provides tools for financial management, invoicing, expense management, bank reconciliation, reporting, CRM, procurement, and related business operations, enhanced by artificial intelligence capabilities.

2. Eligibility

You must be at least 18 years old and have the legal authority to bind the entity on whose behalf you are using the Platform. By creating an account, you represent that you have this authority.

3. Account Registration

1. You must provide accurate and complete information when creating an account.
2. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3. You must notify us immediately at admin@eidoapp.io if you become aware of any unauthorised use of your account.
4. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Submit false, misleading, or fraudulent financial information
• Attempt to gain unauthorised access to the Platform, other accounts, or our systems
• Reverse-engineer, decompile, or disassemble any part of the Platform
• Use the Platform to process data on behalf of third parties without our prior written consent (except where you are an accountant or advisor with appropriate access granted by the account owner)
• Use automated tools to scrape, crawl, or extract data from the Platform
• Interfere with or disrupt the Platform or its infrastructure

5. Financial Data and HMRC Submissions

1. Your responsibility. You are solely responsible for the accuracy and completeness of all financial data entered into the Platform, including but not limited to invoices, expenses, journal entries, VAT returns, and any submissions made to HMRC.
2. Eido is not an accountant, tax advisor, or financial advisor. The Platform provides tools and AI-assisted analysis to support your financial management. It does not constitute professional accounting, tax, or financial advice. You should consult qualified professionals for advice specific to your circumstances.
3. AI-generated content. The Platform uses artificial intelligence to generate management accounts commentary, variance analysis, forecasts, chaser emails, and other business insights. All AI-generated content is advisory and should be reviewed by you before reliance or action. We do not guarantee the accuracy of AI-generated content.
4. HMRC submissions. Where the Platform facilitates submission of VAT returns or other filings to HMRC, you are responsible for reviewing and approving all submissions before they are sent. Eido acts as a software intermediary and is not liable for errors in submissions that result from inaccurate data you have provided.
5. Eido Agents. Where you enable autonomous agent features (auto-approve, auto-categorise, auto-send), you accept responsibility for configuring appropriate thresholds and reviewing the audit trail regularly. Autonomous actions taken within your configured settings are your responsibility.

6. Data Ownership

1. Your data belongs to you.All financial data, documents, records, and content you upload or create in the Platform ("Your Data") remains your property.
2. Licence to us.You grant us a limited licence to use, store, process, and display Your Data solely for the purpose of providing the Platform and its features to you. This includes processing Your Data through third-party AI services (currently Anthropic's Claude API) for the purpose of generating analysis, commentary, and insights.
3. No sale of data. We will never sell Your Data to third parties.
4. Anonymised and aggregated data. We may use anonymised, aggregated data that cannot be traced back to you or your company for the purpose of improving the Platform, generating industry benchmarks, and developing new features. This data will never include personally identifiable information, specific financial figures, or any information that could identify your company.

7. Data Processing and AI

1. Financial data may be sent to third-party AI providers (currently Anthropic) for processing. These providers do not train their models on data submitted via their APIs. See our Privacy Policy for details.
2. AI features include but are not limited to: management accounts commentary, variance analysis, forecast analysis, invoice chaser email drafting, client risk assessment, bank transaction matching, expense categorisation, period close summaries, and the Eido Digest.
3. You may opt out of specific AI features by disabling them in your agent settings or company settings.

8. Storage and Retention

1. We will retain Your Data for as long as your account is active, plus a reasonable period thereafter to allow for reactivation or data export.
2. Storage limits may apply depending on your pricing tier. We will notify you when you approach your storage limit and provide options to manage your usage.
3. UK financial record-keeping requirements generally mandate retention of financial records for at least 6 years (7 years for some records). We will not delete financial records within this period unless required by law or explicitly requested by you in writing, in which case we will inform you of the regulatory implications.
4. You may export Your Data at any time via the Platform's data export feature. We support export in standard formats (CSV, PDF).

9. Pricing and Payment

1. Pricing details are published on our website. We reserve the right to change pricing with 30 days' notice.
2. During any free or alpha trial period, access is provided at our discretion and may be withdrawn at any time.
3. Payment terms, billing frequency, and accepted payment methods will be communicated separately.

10. Intellectual Property

1. The Platform, including its code, design, AI models, prompts, documentation, and all related intellectual property, is owned by Eido Technologies Ltd and is protected by copyright, trade secret, and other intellectual property laws.
2. These Terms do not grant you any rights to our intellectual property except the limited right to use the Platform as described herein.
3. You retain all intellectual property rights in Your Data.

11. Limitation of Liability

1. To the maximum extent permitted by law, Eido Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.
2. Our total liability for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
3. We do not exclude liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

12. Service Availability

1. We aim to provide reliable access to the Platform but do not guarantee uninterrupted or error-free operation.
2. We may perform scheduled maintenance with reasonable advance notice where practicable.
3. We are not liable for interruptions caused by factors beyond our reasonable control, including but not limited to failures of third-party services (Supabase, Vercel, Anthropic, HMRC).

13. Termination

1. You may terminate your account at any time by contacting us at admin@eidoapp.io.
2. We may suspend or terminate your access for violation of these Terms, non-payment, or at our discretion with 30 days' notice.
3. Upon termination, you will have 30 days to export Your Data. After this period, we may delete Your Data, subject to regulatory retention requirements.

14. Changes to These Terms

1. We may update these Terms from time to time. We will notify you of material changes by email or through the Platform.
2. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
